Staffing Agency Agreement

1.

DESCRIPTION OF SERVICES. Beginning on January 01, 2023, Global Presence Enterprises, LLC will submit to Company Names On Invoices the names and resumes of qualified candidates ("Candidates") for the position with the skills and educational background described as follows (collectively, the "Services"): Professional and Labor Services

PAYMENT FOR SERVICES.

SERVICE PROVIDER'S REPRESENTATIONS. Global Presence Enterprises, LLC represents and warrants that Global Presence Enterprises, LLC and its supplied workers have the right to perform the services under and pursuant to this Contract without violation of obligations to others, and that Global Presence Enterprises, LLC and its supplied workers have the right to disclose to Company Names On Invoices all information transmitted to Company Names On Invoices in the performance of services under and pursuant to this Contract and Global Presence Enterprises, LLC agrees that any information submitted to Company Names On Invoices, whether patentable or not, may be used fully and freely by Company Names On Invoices.

TERM/TERMINATION. This Contract Maximum of 12 Months. After which client shall pay 25 percent of the annual salary that is offered to the employee or terminate the contract.

RELATIONSHIP OF PARTIES. It is understood by the parties that Global Presence Enterprises, LLC is an independent contractor with respect to Company Names On Invoices, and not an employee of Company Names On Invoices. Company Names On Invoices will not provide fringe benefits, including health insurance benefits, paid vacation, or any other employee benefit, for the benefit of Global Presence Enterprises, LLC.

CONFIDENTIALITY. Global Presence Enterprises, LLC will not at any time or in any manner, either directly or indirectly, use for the personal benefit of Global Presence Enterprises, LLC, or divulge, disclose, or communicate in any manner any information that is proprietary to Company Names On Invoices. Global Presence Enterprises, LLC will protect such information and treat it as strictly confidential. This provision shall continue to be effective after the termination of this Contract. Upon termination of this Contract, Global Presence Enterprises, LLC will return to Company Names On Invoices all records, notes, documentation and other items that were used, created, or controlled by Global Presence Enterprises, LLC during the term of this Contract.

7.

INJURIES. Global Presence Enterprises, LLC acknowledges Global Presence Enterprises, LLC's obligation to obtain appropriate insurance coverage for the benefit of Global Presence Enterprises, LLC (and Global Presence Enterprises, LLC's employees, if any). Global Presence Enterprises, LLC waives any rights to recovery from Company Names On Invoices for any injuries that Global Presence Enterprises, LLC (and/or Global Presence Enterprises, LLC's employees) may sustain while performing services under this Contract and that are a result of the negligence of Global Presence Enterprises, LLC or Global Presence Enterprises, LLC's employees.

8.

ENTIRE AGREEMENT. This Contract contains the entire agreement of the parties, and there are no other promises or conditions in any other agreement whether oral or written.

SEVERABILITY. If any provision of this Contract shall be held to be invalid or unenforceable for any reason, the remaining provisions shall continue to be valid and enforceable. If a court finds that any provision of this Contract is invalid or unenforceable but that by limiting such provision, it would become valid and enforceable, then such provision shall be deemed to be written, construed, and enforced as so limited.

10.

APPLICABLE LAW. This Contract shall be governed by the laws of the State of Florida.

11.

SIGNATURES. This Contract shall be agreed upon on behalf of Company Names On Invoices and Global Presence Enterprises, LLC when payment is completed.
